**1. Introduction**

1.1 These Terms and Conditions govern the provision of services by Web Alquimista (“the Agency”), a web agency located in Spain, Europe, to healthcare practitioners, including licensed and unlicensed professionals, coaches, and wellness professionals (“the Client”).

1.2 By engaging the services of Web Alquimista, the Client agrees to be bound by these Terms and Conditions.

**2. Services Provided**

2.1 Web Alquimista provides the following services to the Client:
– Web design and development
– Copywriting and content creation
– Online marketing and advertising
– Business strategy development
– Web optimization, including the use of plugins and other tools

2.2 The specific details of the services to be provided will be outlined in a separate agreement or proposal agreed upon by both parties.

**3. Client Responsibilities**

3.1 The Client agrees to provide all necessary information, materials, and access required for Web Alquimista to perform the agreed-upon services.

3.2 The Client is responsible for ensuring that all content provided to Web Alquimista, including text, images, and other media, does not infringe upon any third-party rights, including copyright and trademark.

**4. Payment Terms**

4.1 The Client agrees to pay Web Alquimista the fees specified in the agreed-upon proposal or agreement.

4.2 Payment terms, including deadlines and methods of payment, will be outlined in the proposal or agreement.

4.3 Web Alquimista reserves the right to suspend or terminate services in the event of non-payment by the Client.

**5. Intellectual Property**

5.1 The Client retains ownership of all intellectual property rights in any materials provided to Web Alquimista for use in the provision of services.

5.2 Web Alquimista retains ownership of all intellectual property rights in any materials created by the Agency in the course of providing services, including but not limited to website designs, copywriting, and marketing materials.

**6. Confidentiality**

6.1 Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the engagement.

6.2 This confidentiality obligation shall survive the termination of services.

**7. Limitation of Liability**

7.1 Web Alquimista shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or in connection with the provision of services.

7.2 The total liability of Web Alquimista, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client for the services provided.

**8. Termination**

8.1 Either party may terminate the engagement upon written notice to the other party.

8.2 Upon termination, the Client shall pay any fees owed to Web Alquimista for services rendered up to the date of termination.

**9. Governing Law**

9.1 These Terms and Conditions shall be governed by and construed in accordance with the laws of Spain.

**10. Amendments**

10.1 These Terms and Conditions may be amended or updated by Web Alquimista from time to time. The Client will be notified of any changes.
